Terms of Participation in Matchmaking

Questions about these terms: juridico@canastra.ventures.

CANASTRA VENTURES GESTÃO EMPRESARIAL LTDA., a private legal entity registered under CNPJ 55.027.562/0001-10, headquartered at Rua Coronel José Eusébio, 95, casa 13, Higienópolis, São Paulo/SP, Brazil, ZIP 01239-030 (“Canastra”), and the individual identified in the program application form (the “Participant”) enter into these Terms of Participation, which govern participation in the Matchmaking program (the “Program”) under the conditions below.

01Purpose and acceptance

1.1These Terms govern participation in any edition of the Program, whose purpose is to connect founders and technical and AI talent with complementary profiles, so they can form founding teams and build new technology and AI startups.

1.2Each edition has its own dates, format, participant profiles, fees and number of seats, published on the Program page and on Canastra's official channels (the “Edition Conditions”). The Edition Conditions supplement these Terms. If they conflict, these Terms prevail, unless the Edition Condition is more favorable to the Participant.

1.3The Participant accepts these Terms by checking “I have read and agree to the Terms of Participation” on the application form. Acceptance applies to the edition the Participant applied for. It is a requirement to take part and means the Participant is aware of and agrees to every condition set out here.

02Applications, selection and structure

2.1Applying does not guarantee a seat. Seats are limited and Canastra selects participants at its discretion, considering each applicant's profile and the composition of the cohort.

2.2The Participant must provide true and up-to-date information on the application form, including the profile they apply under. Canastra may ask for proof of the declared profile. False or inaccurate information allows Canastra to remove the Participant or to charge the fee difference between profiles.

2.3The Program may include online, in-person or hybrid activities. Dates, time commitment and operational details are communicated in advance through official channels.

2.4Canastra may adjust the schedule, time commitment or format, with prior notice by email or another official channel. If an edition is cancelled, significantly postponed or changed to the point of no longer being what was offered, the Participant may choose a full refund of the amount paid.

2.5Participation is personal, non-transferable and voluntary, and requires the Participant to be at least 18 years old.

2.6The Program is not a course: it issues no certificates and has no formal classes or tests. It is a high-commitment experience built on dynamics and discussions with other participants, Canastra partners and guests.

03Participation fee

3.1Participation requires payment of a Participation Fee. The amount may vary by profile and is stated in the Edition Conditions. The fee covers operating costs and access to the Program's platforms and activities.

3.2Payment is made through a link sent after the application is approved, within the deadline set by Canastra's team. If payment is not made on time, the seat may be released to another applicant.

3.3The Participant may withdraw and receive a full refund by requesting it within 7 (seven) calendar days after payment, under article 49 of the Brazilian Consumer Protection Code, by email to juridico@canastra.ventures. After that period the fee is non-refundable, except in the case described in clause 2.4.

3.4Canastra may, at its sole discretion, grant partial scholarships or reduced fees to certain profiles, especially applicants with a technical background (software engineering, machine learning, data science or systems architecture) and the potential to act as CTO or CAIO, and students. Criteria, percentages and conditions are set for each edition.

3.5To be considered for a scholarship or reduced fee, the applicant must explicitly opt in on the application form, confirming they know the eligibility criteria. Scholarships are personal and create no bond or future obligation between the Participant and Canastra.

04Intellectual property and team formation

4.1Taking part in the Program gives Canastra no equity and no rights over companies, ideas, projects or creations developed by Participants. Any investment by Canastra depends on a separate process and agreement, with no obligation on either party.

4.2Agreements between Participants who decide to build together, such as equity split, vesting, roles and ownership of intellectual property, are their sole responsibility. Canastra may provide reference materials, but it is not a party to these agreements, does not give legal advice and is not liable for them. Participants are encouraged to put them in writing.

4.3Methodologies, guides, templates and other materials provided by Canastra remain its property. The Participant may use them, during and after the Program, to build their own startup, but may not resell, publish or distribute them to third parties.

05Participant representations

5.1The Participant represents that they:

  • have read, understood and fully agree to these Terms;
  • have full legal capacity to join the Program;
  • will take an active part in activities, meetings and mentoring sessions;
  • acknowledge that the success of their entrepreneurial journey depends on factors outside Canastra's control;
  • will behave ethically, collaboratively and respectfully toward other participants, mentors, guests and Canastra representatives.

06Confidentiality

6.1Non-public materials and content shared by Canastra in the Program are for Participants' exclusive use and may not be reproduced, distributed or shared with third parties without express authorization.

6.2Ideas, business plans, data and other non-public information shared by other Participants must be kept confidential and used only within the Program. This obligation does not cover public information and does not prevent the independent development of ideas.

6.3Recording, photographing or streaming Program sessions without Canastra's prior authorization is not allowed.

6.4The obligations in this clause apply during the Program and for 2 (two) years after it ends.

07Privacy and personal data

7.1Canastra is the controller of the Participant's personal data and processes it under the Brazilian General Data Protection Law (Law No. 13,709/2018, “LGPD”), based on the performance of these Terms and of the application process (art. 7, V), on legitimate interest (art. 7, IX) and, where required, on consent.

7.2Personal data is used to:

  • review the application and run the Program;
  • carry out the matching, which includes sharing professional profile information (name, education, experience, professional links and interests) with the edition's other Participants, mentors and guests;
  • contact the Participant about the Program and other Canastra initiatives, with the option to unsubscribe at any time;
  • consider the Participant and their team for other Canastra programs and investment opportunities.

7.3Contact and profile data is shared with ecosystem partners, such as investors and partner companies, only with the Participant's specific consent or at their request.

7.4Canastra uses technology providers (application, payment, communication and management platforms) that may store data outside Brazil. In those cases, international transfers follow article 33 of the LGPD.

7.5Data is kept for as long as needed for the purposes above, to meet legal obligations and to exercise legal rights.

7.6The Participant may, at any time, exercise their rights under article 18 of the LGPD, including confirmation, access, correction, portability, deletion, information about sharing and withdrawal of consent, by email to juridico@canastra.ventures.

08Image and voice

8.1The Participant freely, knowingly and free of charge authorizes the use of their image, voice and name in photographs, videos and other records made during the Program and related events, for Canastra's institutional, educational or promotional purposes, in any media, in Brazil and abroad, for an indefinite period.

8.2This authorization may be withdrawn at any time by email to juridico@canastra.ventures, effective from the request. Withdrawal does not apply to materials already published or produced before it.

8.3Testimonials and case studies that feature the Participant individually require specific authorization.

09Conduct and removal

9.1Canastra may remove the Participant from the Program and its communities in case of:

  • disrespectful, discriminatory, offensive or unethical conduct;
  • lack of engagement or repeated absences;
  • misuse of materials, data or confidential information;
  • misuse of Canastra's official communication channels;
  • any action that harms the image, reputation or goals of the Program.

9.2The Participant is notified of the removal, which may be immediate in serious cases. Removal on these grounds gives no right to a refund, without prejudice to the right in clause 3.3.

10Liability

10.1Accepting these Terms does not guarantee team formation, investment, admission to other Canastra programs or any financial result.

10.2Canastra does not run background checks and, to the extent permitted by applicable law, is not liable for the conduct, information or performance of other Participants, mentors or guests, or for agreements Participants make among themselves.

11General provisions

11.1These Terms create no employment, corporate or agency relationship between the Participant and Canastra, and no permanent right to remain in Canastra's communities.

11.2Canastra may update these Terms with prior notice. Changes apply to later editions and do not affect fees already paid or the essential conditions of an edition in progress.

11.3Notices are sent to the email address provided on the application form. A party's tolerance of a breach by the other does not waive any right, and the invalidity of one clause does not affect the others.

11.4These Terms are governed by the laws of Brazil. The courts of São Paulo/SP are chosen to settle any dispute, without prejudice to the Participant's right to bring a claim in the courts of their domicile under the Brazilian Consumer Protection Code.

By checking “I have read and agree to the Terms of Participation”, the applicant confirms they are aware of and agree to all the conditions described here.
